These Terms & Conditions (“Terms”) govern your use of the website at xgeniusapps.com and the products operated by XGenius Apps, LLC (“XGenius Apps,” “we,” “us”), including Electric Genius, Storage Genius, and Greenroom. By accessing our website, creating an account, or sending or receiving messages through any XGenius Apps product, you agree to these Terms.

1. Eligibility and accounts

You must be at least 18 years old to create an account or use our products. You are responsible for the accuracy of the information you provide, for maintaining the security of your credentials, and for all activity that occurs under your account. You agree to notify us promptly if you suspect unauthorized use.

2. Acceptable use

When using XGenius Apps products, you agree not to:

• Use the service to send unlawful, harassing, deceptive, or unsolicited messages.
• Send marketing or promotional messages to recipients who have not provided prior express consent.
• Impersonate another person or misrepresent your affiliation with any person or entity.
• Send messages that violate carrier rules, CTIA guidelines, the Telephone Consumer Protection Act (TCPA), or applicable federal, state, or local law.
• Attempt to reverse engineer, probe, or disrupt the service, or circumvent any access controls.
• Use the service to transmit malware or to collect information about others without consent.

We may suspend or terminate access for any violation of these rules, with or without notice, to protect the integrity of the service and our messaging infrastructure.

3. SMS messaging terms

XGenius Apps products send and receive SMS messages through licensed carrier infrastructure. By providing a phone number to an XGenius Apps product, you consent to receive transactional and operational SMS related to the service you signed up for — including account notifications, intake confirmations, scheduling messages, payment requests, and service alerts.

• Opt-out: Reply STOP to any message to unsubscribe from non-essential SMS. Reply HELP for support.
• Message frequency: Varies based on your activity and the specific product. For Greenroom, see the Greenroom consent page.
• Carrier charges: Message and data rates may apply. Carrier charges vary by plan and provider. XGenius Apps is not responsible for charges levied by your mobile carrier.
• Delivery: We cannot guarantee that every message will be delivered, as delivery depends on carrier networks and recipient device conditions.
• Consent is not transferable: Consent you provide to one XGenius Apps product does not extend to other products, and is not shared with third parties for their marketing.

4. Customer communications routed through our products

Several XGenius Apps products act as an AI-assisted intermediary between our customers (for example, electrical contractors using Electric Genius) and their own end customers. If you are an account holder using an XGenius Apps product to communicate with your own customers, you represent and warrant that:

• You have the necessary consent or legal basis to send messages to those recipients.
• The content of those messages complies with applicable law and carrier rules.
• You will honor opt-out requests from your recipients promptly.

You remain the sender of record for messages you initiate through the service.

5. AI-generated output

Our products use large language models to generate responses, quotes, summaries, and other content. AI output may contain errors, omissions, or inaccuracies. You are responsible for reviewing AI-generated content before relying on it or transmitting it to a third party. XGenius Apps does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output.

6. Subscriptions, fees, and payments

Some XGenius Apps products are offered on a subscription basis or include transaction-based fees. Current pricing is shown during signup and in the applicable product. By subscribing, you authorize recurring charges to the payment method on file until you cancel. Fees are non-refundable except where required by law.

Payments are processed through our third-party payment providers. Their terms govern the handling of payment information. We are not responsible for fees, disputes, or errors originating with a payment provider, card issuer, or bank.

7. Intellectual property

The XGenius Apps website, products, software, designs, and trademarks are owned by XGenius Apps, LLC or its licensors. You retain ownership of content you submit to our products; by submitting it, you grant us a non-exclusive, worldwide, royalty-free license to host, process, and transmit that content solely to provide and improve the service.

8. Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

9. Third-party services

Our products rely on third-party services — including hosting, AI, messaging, email, and payment infrastructure. We are not responsible for the availability, accuracy, or content of third-party services, and their respective terms may apply to your use of those services through our products.

10. Disclaimers

Our website and products are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We do not warrant that the service will be error-free, secure, or continuously available.

11. Limitation of liability

To the maximum extent permitted by law, XGenius Apps, LLC and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of our website or products. Our total aggregate liability for any claim relating to the service will not exceed the greater of (a) the fees you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

12. Indemnification

You agree to indemnify and hold harmless XGenius Apps, LLC and its affiliates from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of the service, your content, your violation of these Terms, or your violation of any law or third-party right.

13. Termination

You may stop using the service at any time and cancel any subscription through the account or billing controls provided. We may suspend or terminate your access at any time if we reasonably believe you have violated these Terms or if we discontinue a product. Provisions that by their nature should survive termination will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms will be resolved in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we'll revise the “last updated” date below and, for material changes, provide reasonable notice through the product or by email where appropriate. Continued use of the service after an update constitutes acceptance of the revised Terms.
